3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Client Projects and Deliverables

For custom AI solutions and projects:

  • Ownership of deliverables will be specified in individual project agreements
  • We retain the right to use general methodologies, tools, and know-how
  • Client data remains the property of the client
  • We may use anonymized project outcomes for marketing purposes unless otherwise agreed

7. Payment Terms

Payment terms for our Services will be outlined in individual service agreements or quotes. General terms include:

  • All fees are in USD unless otherwise specified
  • Payment is due according to the agreed schedule
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend Services for overdue accounts

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This includes business strategies, technical specifications, customer data, and any other information marked as confidential.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF RESULTS

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIASTO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Any damages arising from your use of AI-generated outputs

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Prodiasto and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. AI-Specific Terms

Given the nature of our AI Services, you acknowledge and agree that:

  • AI outputs may contain errors and should be reviewed before use
  • AI systems may produce unexpected results
  • You are responsible for validating AI outputs for your use case
  • AI models may be updated, which could affect outputs
  • Human oversight of AI systems is recommended

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Services will cease immediately
  • You must pay any outstanding fees
  • Provisions that should survive termination will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Prodiasto is registered, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
